Powering Our Community Responsibly
Your Trusted Electric Cooperative
The primary job of a Board of Directors is to provide independent oversight, strategic direction, and fiduciary governance for the Cooperative on behalf of its members, while remaining separate from day-to-day business operations.
Core Responsibilities
• Strategic Direction: Set the long-term vision, goals, and strategic roadmaps for the organization.
• CEO Oversight: Hire, evaluate, compensate, and, if necessary, replace the Chief Executive Officer (CEO).
• Financial Management: Approve annual budgets, monitor financial performance, declare dividends (in for-profit companies), and review audits.
• Risk & Crisis Management: Identify enterprise-wide risks, ensure proper risk mitigation policies, and guide the organization through crises.
• Compliance & Ethics: Ensure the organization obeys all relevant laws, regulations, and ethical standards.
• Major Business Decisions: Authorize mergers, acquisitions, large capital expenditures, and asset transactions.
• Fiduciary Duty: Uphold legal duties—such as the duty of care, loyalty, and obedience (especially prominent in nonprofits).
